Whistleblowing Policy

1. Purpose of This Policy

OYMOM Global™ is committed to the highest standards of ethical conduct, transparency, and accountability. This Whistleblowing Policy provides a secure and confidential mechanism for employees, partners, contractors, and other stakeholders to report concerns about potential misconduct, fraud, corruption, or violations of law or company policy without fear of retaliation.

2. Scope

This policy applies to all employees (full-time, part-time, temporary), contractors, consultants, interns, volunteers, and business partners of OYMOM Global™ and its subsidiaries. It covers concerns related to:

  • Fraud, corruption, or bribery
  • Financial irregularities or accounting fraud
  • Violations of laws or regulations
  • Health and safety violations
  • Environmental violations
  • Discrimination or harassment
  • Data privacy breaches
  • Animal welfare concerns
  • Any other unethical conduct

3. Reporting Channels

4. Anonymous Reporting

Reports may be made anonymously. While anonymous reporting is accepted, providing contact information allows us to seek additional clarification if needed and provide feedback on the outcome of the investigation. Anonymous reports will be investigated to the extent possible based on the information provided.

5. Protection Against Retaliation

OYMOM Global™ strictly prohibits retaliation against any individual who makes a good faith report of a concern. Retaliation includes, but is not limited to:

  • Termination or demotion
  • Harassment or intimidation
  • Discrimination or unfair treatment
  • Threats or adverse job actions

Any individual who experiences retaliation should report it immediately through the same channels. Retaliation is a serious violation of this policy and will result in disciplinary action, up to and including termination.

6. Investigation Process

All reports will be handled as follows:

  • Acknowledgment: Receipt of report will be acknowledged within 5 business days (unless anonymous).
  • Initial Assessment: The Ethics Committee will assess the report to determine if it falls within the scope of this policy.
  • Investigation: Appropriate investigation will be conducted by qualified personnel independent of the matter.
  • Confidentiality: To the extent possible, the identity of the reporter will be protected.
  • Resolution: Findings and recommendations will be documented and appropriate action taken.
  • Feedback: The reporter will be informed of the outcome (unless anonymous or disclosure would compromise the investigation).

7. Confidentiality

All reports and investigations will be handled with the utmost confidentiality consistent with a thorough investigation. Information will only be shared on a need-to-know basis. Breach of confidentiality by any party involved in the process will be treated as a serious disciplinary matter.

8. False or Malicious Reports

Making a report in good faith, even if the concern is not substantiated, is protected. However, knowingly making false or malicious allegations is a serious offense and will result in disciplinary action, including potential legal consequences.

9. Oversight

The Ethics Committee, reporting directly to the Board of Directors, has oversight responsibility for this Whistleblowing Policy. The committee includes representatives from legal, compliance, and human resources functions.

10. External Reporting

Nothing in this policy prevents individuals from reporting concerns directly to relevant regulatory authorities, law enforcement, or legal counsel. However, we encourage you to report internally first so we can address concerns promptly.

11. Policy Review

This policy is reviewed annually and updated as necessary to ensure compliance with applicable laws and best practices.
